Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of K360, the business management ERP platform provided by K360 ERP ("K360", "we", "us", or "our"), including our website at k360.iandunetworks.com (collectively, the "Service"). By creating an account, requesting a demo, or otherwise using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company.

2. The Service

K360 provides modules for customer management, supplier management, purchasing, sales & POS, invoicing, credit notes & returns, attendance tracking, inventory control, multi-branch management, cheque management, order booking, reporting & analytics, and roles & permissions, delivered via cloud, on-premise or hybrid deployment as agreed in your order form.

3. Accounts & Registration

• You must provide accurate, current information when creating an account and keep it up to date.
• You are responsible for safeguarding your login credentials and for all activity under your account.
• Notify us promptly at hello@k360erp.com of any unauthorized use of your account.
• Administrators within your organization are responsible for configuring roles, permissions and user access levels appropriately.

4. Subscriptions & Payment

• Paid plans (Starter, Growth, Enterprise) are billed on a subscription basis, monthly or semi-annually, per the pricing in effect at signup or as agreed in your order form.
• Free trials, where offered, convert to a paid subscription only if you choose a paid plan; no credit card is required to start a trial.
• Fees are non-refundable except as required by law or expressly stated otherwise.
• We may change pricing with advance notice; changes apply from your next renewal term.
• Overdue accounts may be subject to service suspension after reasonable notice.

5. Your Data

You retain all rights to the business data you upload or create in K360 ("Customer Data"). You grant us a limited license to host, process and display Customer Data solely to provide and improve the Service. You are responsible for the accuracy, quality and legality of Customer Data and for having the necessary rights to upload it. Our handling of personal data is further described in our Privacy Policy.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulation.
• Attempt to gain unauthorized access to the Service, other accounts, or related systems.
• Reverse engineer, decompile or attempt to extract the source code of the Service, except as permitted by law.
• Interfere with or disrupt the integrity or performance of the Service, including through malware or excessive automated requests.
• Resell, sublicense or white-label the Service without our prior written consent.

7. Intellectual Property

K360, its software, branding, and all related intellectual property are owned by K360 ERP and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription term. No other rights are granted.

8. Third-Party Services

The Service may integrate with third-party accounting, payment or other platforms. We are not responsible for the availability, content or practices of third-party services, and your use of them is governed by their own terms.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available." To the fullest extent permitted by law, K360 disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or fully secure.

10. Limitation of Liability

To the fullest extent permitted by law, K360 shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising from your use of the Service. Our total aggregate liability for any claim arising out of these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Termination

You may cancel your subscription at any time in accordance with your plan terms. We may suspend or terminate your access if you materially breach these Terms and fail to remedy the breach after notice, or as needed to comply with law. Upon termination, your right to use the Service ends; certain data export windows may apply as described in your order form or on request.

12. Governing Law

These Terms are governed by the laws of the jurisdiction in which K360 ERP is incorporated, without regard to conflict-of-law principles, unless otherwise specified in a signed order form or enterprise agreement.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the Service or by email, and the "Last updated" date above will be revised accordingly. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
